Frequentis Agrees to Acquire Parts of L3Harris’ ATM Segment

Frequentis signed an agreement to acquire the air traffic management (ATM) voice communications and arrival management product business from L3Harris Technologies for a purchase price of $20.1 million, subject to customary net debt and working capital based purchase price adjustments at closing.

The transaction is expected be completed in the second half of 2021 and is subject to competition clearance and regulatory approvals. The transaction consideration will be financed from Frequentis’ cash resources and existing credit lines. Following completion of the acquisition, Frequentis will retain a strong balance sheet and liquidity position, the company said.

In the transaction, Frequentis will acquire the L3Harris’ ATM voice communication systems product line in the U.S.; the Harris air traffic control (ATC) solutions business unit of Harris Canada Systems in Gatineau, Canada; 100% of the shares in Harris C4i in Melbourne, Australia; and 100% of the shares in Harris Orthogon in Bremen, Germany.

In addition to the acquisitions, L3Harris and Frequentis have entered into cooperation agreements under which Frequentis will provide voice communication products for use in L3Harris’ large-scale solutions and services business as an L3Harris technology partner.

The transaction marks a significant step in Frequentis’ growth strategy and will complement Frequentis’ portfolio for the civil and defense ATM sector. Moreover, Frequentis adds the leading arrival and departure management solutions from L3Harris Orthogon to its offering. This is a next stage in Frequentis’ strategy for ATM, in line with the previous acquisitions of Comsoft and ATRiCS.
